Terms of Service

1. General Terms

Welcome to Ambrite ("we", "us", "our"). By accessing or using any of our services — including web hosting, WordPress maintenance, and web design — you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

These Terms apply to all visitors, clients, and any other persons who access or use our services. We may update these Terms from time to time, and your continued use of our services constitutes acceptance of any changes.

2. Services

Ambrite provides the following services:

  • Cloud Web Hosting — Shared hosting plans powered by LiteSpeed web servers, including SSD storage, email accounts, SSL certificates, daily backups, and cPanel access.
  • WordPress Maintenance & Security — Ongoing maintenance plans that include WordPress updates, security monitoring, backups, performance optimization, and support.
  • Web Design & Development — Custom website design and development services, including WordPress development, e-commerce solutions, and responsive design.

Specific features, limits, and pricing for each service are described on our website and may vary by plan. We reserve the right to modify service offerings at any time with reasonable notice.

3. Acceptable Use Policy

This Acceptable Use Policy ("AUP") governs the use of all Ambrite hosting services. By using our hosting, you agree to use our resources responsibly and in accordance with the guidelines below.

3.1 Fair Use of "Unlimited" and "Unmetered" Resources

Important: Hosting plans that advertise "Unlimited" storage or "Unmetered" bandwidth are intended for normal website operation. These terms do not mean "infinite" — they mean we will not impose an arbitrary cap for typical, legitimate website usage.

All hosting accounts are subject to the following fair use guidelines:

  • Storage and bandwidth must be used in connection with a normal, functioning website. Accounts may not be used primarily for file storage, archiving, backup repositories, media distribution, or file-sharing services.
  • Accounts are subject to the inode (file count) limits associated with each plan. Inode limits are enforced to maintain server performance for all clients.
  • Bandwidth usage should correspond to regular web traffic. Sustained high-bandwidth activity that degrades server performance for other users may be throttled or require a plan upgrade.
  • "Unlimited" email accounts and databases must be used for standard business purposes. Bulk email sending, email harvesting, or mass mailing lists are not permitted through hosting email services.

If your usage consistently exceeds what is typical for a shared hosting environment, we will contact you to discuss options, which may include upgrading to a higher plan or dedicated resources. We will not suspend an account without prior communication except in cases of abuse.

3.2 Prohibited Activities

You may not use our services for any of the following:

  • Distributing malware, viruses, or any form of malicious code
  • Sending unsolicited bulk email (spam) or operating mailing lists without proper consent
  • Hosting phishing pages, scam websites, or fraudulent content
  • Storing or distributing content that infringes on copyright, trademarks, or other intellectual property rights
  • Running cryptocurrency mining software or other resource-intensive background processes
  • Hosting proxy, VPN, or anonymization services
  • Conducting illegal activities of any kind under Canadian law
  • Attempting to access other accounts, servers, or networks without authorization
  • Running scripts or processes that consume excessive CPU, memory, or I/O resources and negatively impact other clients on the server

3.3 Content Guidelines

You are solely responsible for the content hosted on your account. We do not actively monitor content, but we reserve the right to remove content that violates these Terms, Canadian law, or that we determine to be harmful. This includes content that is defamatory, obscene, threatening, or that promotes hatred or violence.

4. Accounts & Access

To use our services, you must create an account and provide accurate, current, and complete information. You are responsible for:

  • Maintaining the confidentiality of your account credentials (passwords, API keys, etc.)
  • All activities that occur under your account
  • Notifying us immediately if you suspect any unauthorized access to your account

You must be at least 18 years of age, or the age of majority in your province or territory, to create an account and use our services.

5. Payment & Billing

All prices are quoted in Canadian Dollars (CAD) unless otherwise stated. Applicable taxes (GST/HST) will be added at checkout based on your province of residence.

  • Recurring Services: Hosting and maintenance plans are billed on a recurring basis (monthly, annually, or as selected). Invoices are generated in advance and are due upon receipt.
  • Web Design Projects: Custom design and development projects are quoted individually. Payment terms will be outlined in your project proposal or agreement.
  • Late Payments: If an invoice is not paid within 7 days of the due date, we may suspend your services until payment is received. We will send at least one reminder before any suspension takes effect.
  • Price Changes: We will provide at least 30 days' notice before any price increase to existing services. Price changes will take effect at the start of your next billing cycle.

6. Refunds & Cancellations

6.1 Hosting Plans

New hosting accounts are eligible for a full refund within 30 days of initial purchase if you are not satisfied with the service. After 30 days, hosting fees are non-refundable. You may cancel at any time, and your service will remain active until the end of your current billing period.

6.2 Free Domain Registrations

Certain hosting plans include a free domain registration (.ca or .com). Domain registrations are non-refundable under any circumstances. If you cancel a hosting plan that included a free domain and are otherwise eligible for a refund, the retail price of the domain registration will be deducted from your refund amount.

6.3 Maintenance Plans

Maintenance plans may be cancelled at any time with no penalty. No refunds are issued for the current billing period once work has been performed. If you cancel before any work has been completed in the current period, a prorated refund may be issued at our discretion.

6.4 Web Design Services

Web design and development deposits are non-refundable, as they cover initial planning and design work. If you wish to cancel a project in progress, you will be responsible for payment of all work completed up to the point of cancellation.

7. Uptime & Service Levels

We strive to maintain 99.9% uptime for all hosting services, measured on a monthly basis. This excludes scheduled maintenance windows, which will be announced in advance when possible.

Our uptime guarantee does not cover:

  • Scheduled maintenance or upgrades
  • Issues caused by your own code, plugins, or configurations
  • DNS propagation delays
  • Events beyond our reasonable control (natural disasters, infrastructure outages, DDoS attacks)

If we fail to meet our 99.9% uptime commitment in a given month, you may request a service credit for that month by contacting our support team within 30 days. Credits are applied to future invoices and do not exceed one month of service fees.

8. Intellectual Property

8.1 Your Content

You retain all ownership of the content you upload, create, or store on our servers. By using our services, you grant us a limited license to host, transfer, and display your content solely as needed to provide the services you have purchased.

8.2 Custom Design Work

For custom web design projects, ownership of the final design and code transfers to you upon full payment. Until full payment is received, all design work remains the property of Ambrite. We reserve the right to showcase completed projects in our portfolio unless you request otherwise in writing.

8.3 Third-Party Software

Our services may include or rely on third-party software (such as WordPress, cPanel, and various plugins). These are subject to their own licenses. We make no claims of ownership over third-party software, and your use of such software is governed by their respective terms.

9. Privacy & Data

We take your privacy seriously. In operating our services:

  • We collect only the personal information necessary to provide our services and process payments
  • We do not sell, trade, or share your personal information with third parties for marketing purposes
  • We use industry-standard security measures (encryption, firewalls, access controls) to protect your data
  • Backups of your hosting data are stored securely and are used solely for disaster recovery
  • We comply with Canada's Personal Information Protection and Electronic Documents Act (PIPEDA)

You are responsible for ensuring that your own website complies with applicable privacy laws, including collecting proper consent from your visitors when required.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

  • Ambrite shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.
  • Our total liability for any claim arising from or related to our services shall not exceed the total fees paid by you to Ambrite in the twelve (12) months preceding the claim.
  • We are not liable for data loss. While we perform regular backups, it is your responsibility to maintain your own backups of critical data.

We provide our services on an "as is" and "as available" basis without warranties of any kind, whether express or implied, except as required by Canadian law.

11. Suspension & Termination

We may suspend or terminate your account if:

  • You violate these Terms of Service or the Acceptable Use Policy
  • Your account has an overdue balance exceeding 14 days
  • Your account is being used in a way that threatens the security or performance of our servers
  • We are required to do so by law or court order

Except in cases of serious abuse or legal requirement, we will provide at least 48 hours' notice before suspending an account and give you the opportunity to resolve the issue. Upon termination, your data will be retained for 30 days to allow you to retrieve it, after which it will be permanently deleted.

12. Changes to These Terms

We may update these Terms from time to time. When we make significant changes, we will notify active clients by email at least 14 days before the changes take effect. Your continued use of our services after any changes constitutes acceptance of the revised Terms.

We encourage you to review these Terms periodically. The "Last updated" date at the top of this page indicates when these Terms were most recently revised.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of New Brunswick and the federal laws of Canada applicable therein. Any disputes arising from these Terms or your use of our services shall be subject to the exclusive jurisdiction of the courts of the Province of New Brunswick, Canada.
